Manimo Terms of Service

1. Definitions

• "Service" refers to the ManimoAI platform, including its software, APIs, and documentation.
• "User" or "Workspace Owner" refers to the individual or entity that creates an account with ManimoAI.
• "Subscriber" refers to an end-user who subscribes to receive updates from a user's workspace.
• "User Content" refers to the data, information, and credentials you provide or connect to the Service from your third-party integrations.
• "Generated Content" refers to the drafts, summaries, reports, and other content created by the Service's AI based on your User Content.

2. The Service

ManimoAI provides a platform that connects to your workflow tools to automatically generate and deliver contextual, AI-driven updates. You may configure integrations, manage categories, set delivery frequencies, and review and approve Generated Content.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms.

3. Accounts and Responsibilities

• Eligibility: You must be at least 18 years old and have the legal authority to enter into this agreement.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Acceptable Use: You agree not to use the Service for any unlawful purpose or in any way that could harm, disable, or impair the Service. You will not use the Service to send spam or unsolicited communications.

4. User Content and Generated Content

• Ownership of User Content: You retain all ownership rights to your User Content. You grant ManimoAI a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service for you.
• Responsibility for User Content: You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent and warrant that you have all necessary rights and permissions to connect your third-party services and process their data through ManimoAI.
• Ownership of Generated Content: You own the Generated Content created by the Service from your User Content.
• Subscriber Consent: As a Workspace Owner, you represent and warrant that you have obtained all necessary consents from your Subscribers to collect their information (e.g., email address) and to send them communications through the Service. You agree to comply with all applicable anti-spam and data protection laws.

5. Fees and Payment

• Subscriptions: The Service is offered on a subscription basis. You agree to pay the fees for the plan you select.
• Billing: We use a third-party payment processor to bill you. All payments are subject to the payment processor's terms and conditions.
• Cancellation: You may cancel your subscription at any time. Your cancellation will take effect at the end of the current billing cycle. Fees are non-refundable.
• Fee Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price changes.

6. Term and Termination

• Term: These Terms will remain in effect as long as you use the Service.
• Termination by You: You may terminate your account at any time by using the account deletion feature within the Service.
• Termination by Us: We may suspend or terminate your access to the Service at any time, with or without cause, including for a breach of these Terms.
• Effect of Termination: Upon termination, your right to use the Service will cease immediately. We will permanently delete your account and all associated data as described in our Privacy Policy.

7. Disclaimers and Limitation of Liability

• "AS IS" Service: The Service is provided "as is" and "as available" without any warranties of any kind.
• AI Content Disclaimer: Generated Content is created by an artificial intelligence model. We do not guarantee its accuracy, completeness, or suitability for any purpose. You are solely responsible for reviewing, editing, and approving all Generated Content before distribution.
• Limitation of Liability: To the fullest extent permitted by law, ManimoAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.

8. Indemnification

You agree to defend, indemnify, and hold harmless ManimoAI, its affiliates, and its personnel from and against any claims, liabilities, damages, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights, including any claims from your Subscribers.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria and the United States of America, without regard to its conflict of law principles. Any disputes arising under these Terms will be resolved in the appropriate courts of the United States of America and the Federal Republic of Nigeria.

10. General Provisions

• Changes to Terms: We may modify these Terms from time to time. We will provide notice of such changes by posting the updated Terms on our website. Your continued use of the Service after any modification constitutes your acceptance of the new Terms.
• Entire Agreement: These Terms constitute the entire agreement between you and ManimoAI regarding the Service.
